This is a legally binding agreement between you, the individual user (“you” and “your”), and Ascend Health AI (“Ascend,” “we,” “us,” or “our”), regarding your access to and use of our website (https://ascendhealthai.com), any of our mobile applications, our software as a service (SaaS) platform, or any of our related websites, applications, or services (collectively, the “Site”), and the services accessible through the Site (collectively, the “Services”).
By using the Site and/or Services, you agree to these Terms of Use (“Terms”). If you do not agree, you must not use the Site or Services.
1. Ascend Health AI Services
Ascend Health AI provides voice-based and AI-powered tools to assist healthcare organizations, clinics, and other entities with workflow automation, patient engagement, and operational efficiency.
We offer AI-driven voice assistants, SMS workflows, and supporting software. Our tools may collect, process, and relay patient information based on customer configuration and usage.
Ascend does not provide medical care, clinical decision-making, or professional healthcare services.
Our tools are not substitutes for professional clinical judgment.
Customers must ensure that all healthcare decisions and patient interactions are managed and supervised by qualified healthcare professionals.
2. No Medical Advice
The Site and Services do not provide medical advice. They are designed to augment healthcare workflows, not replace them.
No patient relationship is established with Ascend. Any information, interaction, or output from Ascend’s Services is not a diagnosis, treatment recommendation, or medical advice. Always consult a qualified healthcare provider for medical decisions.

3. Your Responsibilities
As a user of the Site or Services, you agree that you:
Are at least 18 years of age;
Have the legal capacity to enter into these Terms;
Will use the Site and Services only in compliance with applicable laws;
Will not use the Site or Services to provide or replace medical advice;
Will maintain appropriate security and confidentiality of your account credentials;
Are solely responsible for any content or data you input into the Services.
If you are using the Services on behalf of an organization (such as a clinic), you confirm that you have the legal authority to bind that organization to these Terms.
4. Prohibited Uses
You may not:
Use the Site or Services for unlawful, harmful, or offensive purposes;
Attempt to reverse engineer, decompile, or gain unauthorized access to the Services;
Introduce malware, viruses, or malicious code into the Site or Services;
Use the Site or Services in a manner that may impair functionality or availability;
Use the Services to process data in violation of privacy, security, or healthcare laws;
Use the Services to make clinical decisions without proper medical oversight.
5. Privacy and Security

By using the Site or Services, you consent to our handling of personal data in accordance with our Privacy Policy.

Compliance of the Services with any clinical or regulatory requirements.
Use of the Services is entirely at your own risk.
9. Limitation of Liability
To the fullest extent permitted by applicable law:
Ascend shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of your use of or inability to use the Site or Services — including, without limitation, any claim related to medical outcomes, patient interactions, data loss, or system errors.
Our total liability to you for any claims arising from your use of the Site or Services shall not exceed one thousand U.S. dollars ($1,000).
You acknowledge that you are responsible for ensuring that any clinical or medical use of the Services is appropriate and supervised by qualified healthcare professionals.
10. Indemnification
You agree to indemnify, defend, and hold harmless Ascend and its officers, directors, employees, and agents from any claims, damages, or liabilities arising out of:
Your use of the Site or Services;
Your violation of these Terms;
Your violation of any applicable laws or third-party rights;
Your use of the Services in connection with patient care or healthcare operations.
11. Termination
Ascend may suspend or terminate your access to the Site or Services at any time, without notice, for conduct that we reasonably believe violates these Terms or is otherwise harmful.
Upon termination, your right to use the Site and Services will cease immediately.
12. Changes to Terms
We may update these Terms from time to time. When we do, we will update the “Effective Date” above.
Your continued use of the Site or Services after any update constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Minnesota, and you consent to the jurisdiction of such courts.

15. Entire Agreement
